Capture Works – Digital Operator Service
§ 1 Allgemeines
1. Alle Angebote, Leistungen und Aufträge erfolgen zu den Allgemeinen Geschäftsbedingungen von Capture Works in der zum Zeitpunkt der Beauftragung gültigen Fassung. Anderweitige Bedingungen müssen gesondert vereinbart werden.
2. Diese Allgemeinen Geschäftsbedingungen gelten ausschließlich. Abweichende Allgemeine Geschäftsbedingungen des Kunden haben keine Gültigkeit, es sei denn, diesen wird ausdrücklich zugestimmt.
§ 2 Auftragsabwicklung
1. Bei der Beauftragung sind Art, Umfang und Dauer der benötigten Leistungen anzugeben.
2. Kostenvoranschläge sind grundsätzlich unverbindlich. Wird ein Kostenvoranschlag um mehr als 10 % überschritten, wird dies mitgeteilt, sobald es absehbar ist.
3. Liefertermine und Produktionsdaten sind nur dann verbindlich, wenn sie ausdrücklich schriftlich bestätigt werden. Für Fristüberschreitungen wird nur bei Vorsatz und grober Fahrlässigkeit gehaftet.
4. Werden Leistungen Dritter benötigt, ist Capture Works berechtigt, diese für den Kunden zu erwerben.
§ 3 Leistungsumfang
1. Capture Works erbringt digitale On-Set-Dienstleistungen, insbesondere: Tethering, Live-Bildübertragung, Farbkalibrierung, Bildkontrolle, Datensicherung sowie Export und Übergabe des Bildmaterials.
2. Der genaue Leistungsumfang ergibt sich aus dem jeweiligen Angebot. Zusätzliche Leistungen sind gesondert zu vergüten.
3. Capture Works stellt die notwendige technische Ausrüstung sowie die erforderliche Software für den vereinbarten Einsatz bereit, sofern nicht ausdrücklich anders vereinbart.
§ 4 Datensicherheit und Datenverlust
1. Capture Works trifft alle zumutbaren Maßnahmen, um die Sicherheit der auf Set erstellten Bilddaten zu gewährleisten. Dies umfasst redundante Speicherung und standardisierte Backup-Prozesse.
2. Bilddaten werden nach Abschluss der Produktion für einen Zeitraum von 30 Tagen gesichert aufbewahrt. Nach Ablauf dieser Frist ist Capture Works berechtigt, die gespeicherten Daten zu löschen. Eine darüber hinausgehende Aufbewahrungspflicht besteht nicht.
3. Eine Haftung für Datenverlust ist auf Fälle von Vorsatz und grober Fahrlässigkeit beschränkt. Eine Haftung für höhere Gewalt, technisches Versagen von Dritthardware oder nicht vorhersehbare Ereignisse ist ausgeschlossen.
4. Der Kunde ist dafür verantwortlich, nach Übergabe der Daten für eine eigene gesicherte Archivierung zu sorgen.
5. Die Übergabe der Bilddaten erfolgt in dem im Angebot vereinbarten Format und Umfang. Darüber hinausgehende Lieferungen bedürfen einer gesonderten Vereinbarung.
§ 5 Produktionstage
5.1 Shooting-Tag
Ein Shooting-Tag umfasst zehn Stunden aktive Produktionszeit, einschließlich einer Stunde Mittagspause sowie An- und Abfahrt zur Produktion.
5.2 Vorbereitungstag
Ein Vorbereitungstag ist ein Tag, an dem Equipment aufgebaut, getestet und für die Produktion vorbereitet wird. Die dabei erstellten Bilder werden nicht kommerziell genutzt. Vorbereitungstage werden zum vollen Tagessatz vergütet.
5.3 Reisetag
Ein Reisetag ist ein Tag, an dem Capture Works mitsamt Equipment vom Firmensitz zum Produktionsort oder zurück reist. Reisetage werden zum vollen Tagessatz vergütet, da Equipment und Arbeitskraft für diesen Zeitraum vollständig geblockt sind.
5.4 Options-Tag
Ein Options-Tag ist ein Tag innerhalb des vereinbarten Produktionszeitraums, an dem kein Shooting stattfindet — etwa aufgrund von Witterung, Planungsänderungen oder projektbedingten Pausen. Da Equipment und Arbeitskraft für den Kunden vorgehalten werden und anderweitig nicht verfügbar sind, wird ein Options-Tag zu 50 % des Tagessatzes vergütet, sofern im Angebot nicht anders vereinbart.
§ 6 Überstunden und Nachtzuschläge
6.1 Überstunden
Jede über den vereinbarten Zehn-Stunden-Tag hinausgehende Stunde wird wie folgt berechnet:
- 11.–12. Stunde: Stundensatz + 25 % Aufschlag pro Stunde
- 13.–14. Stunde: Stundensatz + 50 % Aufschlag pro Stunde
- Ab der 15. Stunde: Stundensatz + 100 % Aufschlag pro Stunde
6.2 Nachtzuschlag
Werden Leistungen von Capture Works in der Zeit zwischen 22:00 Uhr und 06:00 Uhr in Anspruch genommen, wird pro geleisteter Stunde ein Nachtzuschlag von 100 % des vereinbarten Stundensatzes berechnet.
§ 7 Honorar
1. Jeder Einsatz ist honorarpflichtig.
2. Bis zur vollständigen Bezahlung des Honorars und etwaiger Auslagen bestehen keine weitergehenden Ansprüche des Kunden auf Herausgabe von Datenmaterial.
3. Es gilt das vereinbarte Honorar. Ist kein Honorar vereinbart worden, ist das übliche Honorar geschuldet. Das Honorar versteht sich zuzüglich der jeweils gültigen Mehrwertsteuer.
4. Wird die vereinbarte Produktionszeit ohne Verschulden von Capture Works überschritten, ist die Vergütung angemessen zu erhöhen. Bei vereinbartem Zeithonorar gilt der vereinbarte Stunden- oder Tagessatz auch für Wartezeiten.
5. Nebenkosten (Reisekosten, Transportkosten für Equipment, Unterkunft, Verpflegung etc.) sind vom Kunden zu tragen, sofern nicht ausdrücklich anders vereinbart.
6. Wünscht der Kunde während oder nach der Produktion Änderungen am vereinbarten Leistungsumfang, hat er die Mehrkosten zu tragen.
7. Der Kunde ist nicht berechtigt, gegen Forderungen von Capture Works mit eigenen Gegenforderungen aufzurechnen, es sei denn, die Gegenforderung ist von Capture Works ausdrücklich anerkannt oder rechtskräftig festgestellt.
8. Im Falle einer Kündigung ist Capture Works berechtigt, die vereinbarte Vergütung zu verlangen, abzüglich ersparter Aufwendungen. Es steht Capture Works frei, einen Pauschalbetrag von 15 % des Gesamthonorars geltend zu machen, sofern der Kunde nicht nachweist, dass der tatsächliche Schaden wesentlich geringer ist.
9. Rechnungen sind innerhalb von 14 Tagen ohne Abzug zu zahlen. Der Kunde gerät spätestens nach 30 Tagen in Verzug.
§ 8 Produktionsabsage
Wird die Produktion nach Auftragsbestätigung vom Auftraggeber abgesagt, gelten folgende Erstattungsstufen:
- Bis 96 Stunden vorher: 50 % der Angebotssumme (ausgenommen bereits gebuchte Reisekosten)
- 96–72 Stunden vorher: 75 % der Angebotssumme
- 72–48 Stunden vorher: 85 % der Angebotssumme
- Weniger als 48 Stunden vorher: 100 % der Angebotssumme
Bereits gebuchte und bezahlte Reisekosten (Hotel, Flug, Mietwagen etc.) sind in jedem Fall vollständig zu erstatten. Die Zeitangaben beziehen sich auf 00:01 Uhr des ersten Produktionstages.
§ 9 Schlechtwetter und Produktionsabbruch
Sind die Wetterbedingungen oder Umstände vor Ort so beschaffen, dass ein sicherer Einsatz der Technik nicht möglich ist oder Gefahr für Personen oder Equipment besteht, kann die Produktion ohne Rücksprache abgebrochen werden.
In diesem Fall sind 100 % der Equipmentkosten sowie Reise- und Fahrtkosten und 50 % des Tageshonorars (100 % bei bereits beauftragten externen Dienstleistern) vom Auftraggeber zu tragen.
Wird die Produktion erst im Laufe des Tages abgebrochen, ist die volle Angebotssumme fällig.
§ 10 Mängelgewährleistung
1. Im Falle eines Mangels ist der Kunde zunächst zur Nacherfüllung durch Capture Works verpflichtet. Erst nach erfolglosem Ablauf einer angemessenen Nacherfüllungsfrist stehen dem Kunden weitergehende Rechte wie Minderung, Rücktritt oder Schadensersatz zu.
2. Mängelrügen sind innerhalb von zwei Wochen nach Abschluss der Leistung schriftlich geltend zu machen. Anderenfalls gilt die Leistung als vertragsgemäß erbracht.
3. Der Kunde ist zur Zurückbehaltung der Vergütung nur berechtigt, soweit der einbehaltene Betrag in einem angemessenen Verhältnis zu den gerügten Mängeln steht.
4. Die Verjährungsfrist für Mängelansprüche beträgt ein Jahr, soweit nicht gesetzlich zwingende längere Fristen gelten.
§ 11 Mitwirkung des Kunden
1. Der Kunde verpflichtet sich, für geeignete Arbeitsbedingungen am Set zu sorgen, insbesondere ausreichend Platz, Strom sowie gegebenenfalls Internetzugang bereitzustellen.
2. Kommt der Kunde in Annahmeverzug oder verletzt er Mitwirkungspflichten schuldhaft, ist Capture Works berechtigt, den entstehenden Schaden ersetzt zu verlangen.
§ 12 Haftungsbegrenzung
1. Capture Works haftet uneingeschränkt bei Vorsatz oder grober Fahrlässigkeit sowie bei Verletzung von Leben, Körper oder Gesundheit.
2. Bei fahrlässiger Verletzung wesentlicher Vertragspflichten ist die Haftung auf den vertragstypischen, vorhersehbaren Schaden begrenzt.
3. Im Übrigen ist eine Haftung ausgeschlossen.
4. Diese Regelungen gelten auch für Erfüllungsgehilfen und gesetzliche Vertreter von Capture Works.
§ 13 Datenschutz
Die personenbezogenen Daten des Kunden werden vertraulich und entsprechend der gesetzlichen Datenschutzvorschriften (DSGVO) behandelt. Eine Weitergabe erfolgt nicht, es sei denn, sie ist zur Vertragsabwicklung erforderlich.
§ 14 Kostenverschiebung
Beträge einzelner Angebotspositionen können bei Bedarf untereinander verschoben werden, sofern die Gesamtsumme unverändert bleibt. Hierfür ist kein neues Angebot erforderlich.
§ 15 Anwendbares Recht und Gerichtsstand
1. Es gilt das Recht der Bundesrepublik Deutschland unter Ausschluss des UN-Kaufrechts.
2. Ist der Kunde Kaufmann, ist das Gericht am Sitz von Capture Works zuständig, sofern kein ausschließlicher Gerichtsstand begründet ist.
§ 16 Schlussbestimmungen
Sollte eine Bestimmung dieser AGB unwirksam sein oder werden, bleiben die übrigen Bestimmungen hiervon unberührt.

§ 1 General
1. All offers, services, and orders are subject to the General Terms and Conditions of Capture Works as applicable at the time of commissioning. Deviating conditions must be separately agreed upon.
2. These General Terms and Conditions apply exclusively. Deviating terms and conditions of the client shall have no validity unless expressly agreed to.
§ 2 Order Processing
1. When placing an order, the type, scope, and duration of the required services must be specified.
2. Cost estimates are generally non-binding. If a cost estimate is exceeded by more than 10%, notice will be given as soon as this becomes foreseeable.
3. Delivery dates and production data are only binding if expressly confirmed in writing. Liability for missed deadlines applies only in cases of intent or gross negligence.
4. If third-party services are required, Capture Works is entitled to procure these on behalf of the client.
§ 3 Scope of Services
1. Capture Works provides digital on-set services, including: tethering, live image transmission, colour calibration, image control, data backup, and export and handover of image material.
2. The exact scope of services results from the respective offer. Additional services are to be remunerated separately.
3. Capture Works provides the necessary technical equipment and required software for the agreed assignment, unless expressly agreed otherwise.
§ 4 Data Security and Data Loss
1. Capture Works takes all reasonable measures to ensure the security of image data created on set. This includes redundant storage and standardised backup processes.
2. Image data will be stored securely for a period of 30 days after the production is completed. After this period, Capture Works is entitled to delete the stored data. No further retention obligation exists.
3. Liability for data loss is limited to cases of intent and gross negligence. Liability for force majeure, technical failure of third-party hardware, or unforeseeable events is excluded.
4. The client is responsible for ensuring their own secure archiving after data handover.
5. Image data will be handed over in the format and scope agreed upon in the offer. Deliveries beyond this require a separate agreement.
§ 5 Production Days
5.1 Shooting Day
A shooting day comprises ten hours of active production time, including one hour lunch break and travel to and from the production.
5.2 Preparation Day
A preparation day is a day on which equipment is set up, tested, and prepared for production. Images created during this time are not used commercially. Preparation days are remunerated at the full day rate.
5.3 Travel Day
A travel day is a day on which Capture Works travels with equipment from the company headquarters to the production location or back. Travel days are remunerated at the full day rate, as equipment and personnel are fully blocked for this period.
5.4 Option Day
An option day is a day within the agreed production period on which no shooting takes place — for example due to weather, planning changes, or project-related breaks. Since equipment and personnel are held available for the client and are not available elsewhere, an option day is remunerated at 50% of the day rate, unless otherwise agreed in the offer.
§ 6 Overtime and Night Surcharges
6.1 Overtime
Each hour beyond the agreed ten-hour day is charged as follows:
- 11th–12th hour: hourly rate + 25% surcharge per hour
- 13th–14th hour: hourly rate + 50% surcharge per hour
- From the 15th hour: hourly rate + 100% surcharge per hour
6.2 Night Surcharge
If services are rendered between 22:00 and 06:00, a night surcharge of 100% of the agreed hourly rate will be charged per hour worked.
§ 7 Fees
1. Every assignment is subject to a fee.
2. Until full payment of the fee and any expenses, the client has no further right to receive image data.
3. The agreed fee applies. If no fee has been agreed, the customary fee is owed. All fees are subject to the applicable VAT.
4. If the agreed production time is exceeded through no fault of Capture Works, the remuneration is to be increased appropriately. For agreed time-based fees, the agreed hourly or daily rate also applies to waiting times.
5. Ancillary costs (travel expenses, equipment transport, accommodation, meals, etc.) are to be borne by the client unless expressly agreed otherwise.
6. If the client requests changes to the agreed scope of services during or after production, they shall bear the additional costs.
7. The client is not entitled to offset claims of Capture Works with their own counter-claims, unless the counter-claim has been expressly acknowledged by Capture Works or established by final judgment.
8. In the event of cancellation, Capture Works is entitled to demand the agreed remuneration, less saved expenses. Capture Works reserves the right to claim a flat amount of 15% of the total fee, unless the client proves that the actual damage is significantly lower.
9. Invoices are to be paid within 14 days without deduction. The client is in default at the latest after 30 days.
§ 8 Production Cancellation
If the production is cancelled by the client after order confirmation, the following cancellation tiers apply:
- Up to 96 hours in advance: 50% of the total offer (excluding already booked travel costs)
- 96–72 hours in advance: 75% of the total offer
- 72–48 hours in advance: 85% of the total offer
- Less than 48 hours in advance: 100% of the total offer
Already booked and paid travel costs (hotel, flights, rental car, etc.) must be reimbursed in full in any case. Time references are based on 00:01 on the first day of production.
§ 9 Bad Weather and Production Interruption
If weather conditions or on-site circumstances are such that safe use of equipment is not possible, or if there is risk to persons or equipment, production may be halted without prior consultation.
In this case, 100% of equipment costs and travel expenses, as well as 50% of the daily fee (100% for already commissioned external service providers), are to be borne by the client.
If production is halted during the course of the day, the full offer amount is due.
§ 10 Warranty
1. In the event of a defect, the client must first allow Capture Works to remedy the defect. Only after an appropriate remedy period has passed without result does the client have further rights such as reduction, withdrawal, or damages.
2. Defect claims must be made in writing within two weeks of service completion. Otherwise the service is deemed to have been performed in accordance with the contract.
3. The client is only entitled to withhold remuneration to the extent that the withheld amount is proportionate to the alleged defects.
4. The limitation period for defect claims is one year, unless mandatory statutory longer periods apply.
§ 11 Client Cooperation
1. The client undertakes to ensure suitable working conditions on set, including sufficient space, power supply, and where applicable, internet access.
2. If the client is in default of acceptance or culpably violates cooperation obligations, Capture Works is entitled to demand compensation for the resulting damage.
§ 12 Limitation of Liability
1. Capture Works is fully liable in cases of intent or gross negligence, as well as for injury to life, body, or health.
2. In cases of negligent breach of material contractual obligations, liability is limited to the foreseeable, contract-typical damage.
3. Any further liability is excluded.
4. These provisions also apply to vicarious agents and legal representatives of Capture Works.
§ 13 Data Protection
The client's personal data is treated confidentially and in accordance with applicable data protection regulations (GDPR). Data will not be disclosed unless required for the processing of the contract.
§ 14 Cost Reallocation
Amounts of individual offer items may be reallocated between positions if the total amount remains unchanged. No new offer is required for this purpose.
§ 15 Applicable Law and Jurisdiction
1. The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods.
2. If the client is a merchant, the court at the registered office of Capture Works has jurisdiction, unless an exclusive place of jurisdiction is established.
§ 16 Final Provisions
Should any provision of these Terms and Conditions be or become invalid, the remaining provisions shall remain unaffected.
